Anantam Highways Trust (the “Trust”) is an Indian infrastructure investment trust which proposes to invest in infrastructure assets, including in road infrastructure assets. The Trust is sponsored by Alpha Alternatives Fund Advisors LLP (the “Sponsor”). The Sponsor established the Trust on July 24, 2024 and the Trust was registered with SEBI on August 19, 2024 as an InvIT in accordance with the InvIT Regulations.
The Trust will have an initial portfolio consisting of the eight Project SPVs having an aggregate of 311.25 kms (1245.00 lane kms), located across 5 states in India. The Trust, subject to receipt of certain approvals, will directly or indirectly hold 100.00% equity interest in the eight Project SPVs which shall collectively hold eight road infrastructure projects.
Anantam Highways Trust (“InvIT”) is an infrastructure investment trust registered in accordance with the provisions of the Securities and Exchange Board of India (Infrastructure Investment Trusts) Regulations, 2014 (“InvIT Regulations”), bearing registration number IN/InvIT/24-25/0031. The investment of the InvIT shall only be in infrastructure projects through special purpose vehicles or holding companies or securities of Indian companies in accordance with the InvIT Regulations and the investment strategy as detailed in the trust deed and the placement documents. All investments by the InvIT shall be in compliance with the InvIT Regulations.
Alpha Alternatives Fund Advisors LLP (‘Sponsor’) is the sponsor of Anantam Highways Trust. The Sponsor is a limited liability partnership incorporated in India under the Limited Liability Partnership Act, 2008, with the identification number AAL-2353. The registered office of the Sponsor is situated at 34th Floor, Sunshine Tower, Senapati Bapat Marg, Dadar West, Mumbai – 400013.
Axis Trustee Services Limited (‘ATSL’) is the Trustee of Anantam Highways Trust. ATSL is a registered intermediary with Securities and Exchange Board of India (‘SEBI’) under the SEBI (Debenture Trustee) Regulations, 1993 as a debenture trustee having registration number IND000000494 and the certificate of registration is valid until suspended. The registered office of ATSL is situated at Axis House, Bombay Dyeing Mills Compound, Pandurang Budhkar Marg, Worli, Mumbai – 400025 and corporate office at The Ruby 2nd floor, SW, 29 Senapati Bapat Marg, Dadar West, Mumbai – 400028. The Trustee is a wholly-owned subsidiary of Axis Bank Limited.
Alpha Alternatives Fund-Infra Advisors Private Limited (“Investment Manager”) is the investment manager of Anantam Highways Trust. The Investment Manager was incorporated on February 8, 2024 as a private limited company under the Companies Act, 2013. The corporate identification number of the Investment Manager is U70200MH2024PTC418826. The registered office of the Investment Manager is situated at 33rd Floor, Sunshine Tower, Senapati Bapat Marg, Dadar West, Mumbai – 400013. The Investment Manager will be managing the day to day affairs of Anantam Highways Trust and will be responsible for investment decisions with respect to the underlying assets including any further acquisitions or divestment.
Arsenio Strategies Private Limited (‘Project Manager’) is the project manager of Anantam Highways Trust. The Project Manager is a was incorporated on November 7, 2023 as a private limited company under the Companies Act, 2013. The corporate identification number of the Project Manager is U74909MH2023PTC413446. The registered office of the Project Manager is situated at 34th Floor, Sunshine Tower, Senapati Bapat Marg, Dadar West, Mumbai – 400013.
The Project Manager will be responsible for operations and management of all the underlying assets of Anantam Highways Trust.
